A payroll deposit went in late, and the IRS charged your business a penalty on it. The 941 late deposit penalty is 2% to 15% of the deposit, by how many days late it was. A business with 12 clean quarters may qualify for removal, and a tax pro can ask for you.

How it's figured

A $10,000 payroll deposit made 9 days late carries a penalty of 5%, or $500.

The IRS failure to deposit page counts calendar days from the deposit's due date. The rate does not stack; each tier replaces the one before.

First-time removal for businesses

The IRS administrative relief page covers failure to deposit. For a quarterly filer, the clean record is 12 quarters in a row of on-time Form 941s with no penalties.

Starting with 2026 quarterly returns, the IRS applies this relief on its own to 2026 quarterly returns, per its news release of July 8, 2026. Earlier quarters still need a request.

Two extra limits apply. The IRS cannot have waived a deposit penalty 4 or more times in that span, and the penalty cannot be for skipping EFTPS. A business with no bank account can ask for removal with a bank letter less than 2 years old, per the IRS deposit page.

Frequently asked questions

Do the late deposit tiers add up?

No. The tiers replace each other. A deposit 20 days late is charged 10%, not 2% plus 5% plus 10%.

What is the 941 late filing penalty?

The same as for a personal return: 5% of the unpaid tax for each month the Form 941 is late, up to 25%.

Can a 941 penalty be removed the first time?

Yes. Late filing, late payment and late deposit penalties on Form 941 are covered if the business had 12 clean quarters in a row.

Can I fix a wrong Form 941 with Form 843?

No. Employers correct a filed 941 with Form 941-X. Form 843 is only for asking that the penalty itself be removed.
